These four Excel models answer the four money questions a venture-backed company faces in its first three years: who owns what, when the cash runs out, what the team's equity is worth, and whether the bills get paid this quarter.
They were built as one system. The same conventions run through all four – inputs in blue, formulas in black, cross-sheet links in green, three scenarios switched from a single cell, and a Checks tab at the back of every file carrying twelve or more integrity tests that must all read PASS before the model is trusted. Nothing is hardcoded into a results cell. There are no macros, no add-ins, no external links, no password protection, no locked cells, and nothing that requires iterative calculation to be switched on in Excel Options.
WHAT IS IN THE STACK
Cap Table, SAFE & Convertible Note Dilution Waterfall converts SAFEs and notes into a priced round. The price per share, the shares issued to discounted instruments and the option pool top-up all depend on each other at the same moment, which is a circular reference. This model solves it in twelve visible columns with a residual you can watch fall to zero, rather than by asking you to enable iterative calculation. Post-money and pre-money SAFEs, caps, discounts, accrued interest, the option pool shuffle, and an exit waterfall with liquidation preference and participation.
Startup Runway & Burn Planner builds payroll from a thirty-row headcount plan rather than from a typed number, converts revenue into cash with an explicit collection lag, and reports the month the balance genuinely goes negative. Gross burn, net burn, the burn multiple on a trailing quarter, the weeks of runway one more hire costs, and the months a spending cut buys.
ESOP & Option Pool Modeler handles vesting with cliffs and leavers, computes a Black-Scholes fair value for every grant at its own grant date, and recognises the IFRS 2 and ASC 718 expense straight-line with a true-up when someone leaves. The pool is tracked in four states – authorised, granted, forfeited, exercised – and the model sizes the top-up your next twelve months of hiring will require.
13-Week Cash Flow & Working Capital Bridge is the direct forecast a lender or a turnaround adviser asks for first. Receipts are built from your opening receivables book and new sales, disbursements from supplier terms, payroll and overhead. A revolving facility is drawn only as far as it must be to hold a minimum cash policy, with interest charged on the previous week's balance so the model never becomes circular. Receivables, inventory and payables roll forward into DSO, DIO, DPO and the cash conversion cycle.
HOW THEY FIT TOGETHER
The cap table tells you what you sold. The runway planner tells you how long what you raised will last. The ESOP model tells you what you are promising the people spending it. The thirteen-week forecast tells you whether the next quarter is survivable at all.
Each file is a complete standalone workbook and each ships with a five-page PDF guide documenting its conventions and, deliberately, its limitations. There is no duplicated content across the four files; they share conventions, not sheets.
