The three models a seed-stage company is asked for in the same week: who owns what after the round, what the option pool costs the profit and loss account, and when the cash runs out.
The cap table converts post-money SAFEs and convertible notes into a priced round. Post-money SAFEs convert at their cap over a company capitalisation that includes all SAFE shares, which is circular; this workbook solves it in closed form rather than leaving the file to iterate. Notes convert at the lower of their cap price and the discounted round price. The option pool is topped up in the pre-money to a target share of post-money capital, also in closed form. The round is then priced, dilution is shown per holder, and an exit waterfall splits proceeds.
The ESOP model is a grant register: one row per grant with grant month, options, exercise price, vesting months, cliff and leaving month. Vesting runs month by month with nothing before the cliff, the cliff months released at once, monthly pro rata after that, capped at the grant and stopped at the leaving month. The expense is IFRS 2 graded vesting, where each monthly tranche is expensed evenly from grant to its own vest date, which is front-loaded as the standard requires, and adjusted for forfeitures. Pool usage and exit value follow.
The runway model forecasts thirty-six months of cash from a headcount plan and a short list of revenue and cost assumptions: opening cash and committed funding, starting MRR, growth and churn, gross margin, payment terms, and the usual fixed costs with employer on-costs. It reports monthly burn, the cash-out date, runway in months and the break-even month, and three dials move growth, costs and hiring delay together.
All three are Excel workbooks with live formulas and no macros, each with a Guide sheet. Use them if you are a founder, a seed investor or a finance lead preparing a round. They do not replace legal documents, and the exit waterfall follows the terms you enter, not a negotiated term sheet.
