Terms of Usage for ExpertPro Consulting

EXPERTPRO CONSULTING - SUPPLEMENTAL USAGE AND LICENSING TERMS

These terms supplement Flevy's standard purchase terms and apply to all documents published by ExpertPro Consulting. Where they differ from the standard terms, these terms prevail. Where they are silent, Flevy's standard terms apply.

1. LICENSE SCOPE
Purchase grants the buying organization a perpetual, non-exclusive, non-transferable, worldwide license to use the document at a single business location for up to 10 individual users. Additional locations, business units, or user groups require additional licenses. Enterprise and unlimited-user licenses are available on request through Flevy's messaging system.

2. PERMITTED USE
Within the licensed organization you may open, operate, modify, extend, rebrand and reformat the workbooks and manuals for internal purposes without restriction.
Consultants, advisors and other professional service firms may use these instruments on client engagements and may deliver the resulting analysis, outputs, reports and populated results to their clients as part of a paid engagement. The populated results of a modeling exercise belong to you; the underlying instruments do not.
You may extract individual outputs, charts, tables and dashboard images into presentations, information memoranda, credit papers and investment committee packs, including documents shared with third parties such as lenders, investors and public authorities.

3. RESTRICTIONS
You may not distribute, publish, share, sell, resell, sublicense, lease or otherwise transfer the source files (Excel workbooks, PDF manuals, or any file included in the purchase) in their original or lightly modified form to anyone outside the licensed organization, including clients, contractors or affiliates.
You may not deliver the workbooks themselves to a client as a standalone tool, template, product or deliverable; only the outputs of their use may be delivered. A separate distribution or white-label license is required for that purpose.
You may not use these materials, in whole or in part, to create, derive or publish a competing template, toolkit, course or product offered for sale or free distribution.
You may not upload the files to public or shared repositories, template libraries, file-sharing services, marketplaces, or any location accessible outside the licensed organization.
You may not use these materials, in whole or in part, as training data, fine-tuning data, or retrieval corpus for any machine learning model, artificial intelligence system, or automated content generation service.
You may not remove or obscure the Version sheet, copyright notices, standard references or authorship attribution contained in the source files, even where the files have been modified for internal use. Attribution is not required in derivative outputs delivered to clients.

4. INTELLECTUAL PROPERTY
ExpertPro Consulting retains all copyright and intellectual property in the workbooks, their structure, formulas, methodology and accompanying manuals. No transfer of ownership occurs on purchase. The ExpertPro name, logo and product names may not be used in your own marketing except for reasonable and customary reference to the origin of the work.

5. NO PROFESSIONAL, FINANCIAL OR INVESTMENT ADVICE
These documents are analytical instruments, not advice. They do not constitute investment, financial, legal, tax, engineering or accounting advice, and they are not a recommendation to enter into, finance or decline any transaction. All results are a direct function of the assumptions and data entered by the user, who remains solely responsible for the accuracy, sourcing and reasonableness of those inputs, for validating the outputs, and for any decision taken on their basis. Benchmarks and reference values included in the files are provided for orientation only and must be verified against current market conditions. Users are expected to obtain their own qualified professional advice before committing capital.

6. NO WARRANTY AND LIMITATION OF LIABILITY
The documents are provided "as is" and "as available", without warranty of any kind, express or implied, including fitness for a particular purpose, accuracy, or uninterrupted operation. To the maximum extent permitted by applicable law, ExpertPro Consulting's total aggregate liability arising from or connected to the documents is limited to the purchase price actually paid, and ExpertPro Consulting shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, nor for lost profits, lost opportunities, cost overruns, financing costs, or investment losses, however arising.

7. UPDATES AND CORRECTIONS
Corrections and minor releases within the same major version are published to the same Flevy listing and are available to existing buyers at no additional cost through their Flevy account. Major new versions may be published as separate listings. Buyers who identify a calculation error are encouraged to report it through Flevy's messaging system; confirmed errors are corrected and released to all buyers.

8. SUPPORT
Questions on the operation of a document may be sent through Flevy's messaging system and are answered on a reasonable-efforts basis. Support covers how the instrument works. It does not cover the review, validation or auditing of your own assumptions, modeling of your specific transaction, or any form of project-specific advisory work; those are separate paid engagements.

9. CONFIDENTIALITY OF YOUR DATA
ExpertPro Consulting has no access to the data you enter into these workbooks. The files contain no macros, telemetry, external links or embedded connections of any kind.

10. GENERAL
These terms are governed by the laws of the Republic of Chile, without prejudice to any mandatory consumer protection rights available to the buyer in their own jurisdiction. If any provision is found unenforceable, the remainder stays in force. Nothing in these terms limits Flevy's own rights and obligations as marketplace operator, nor any refund policy operated by Flevy.
