THE DEFINE FRAMEWORK
Licence Agreement
This Agreement governs your use of the DEFINE Framework Toolkit (the "Toolkit"): the Practitioner Guide, the PowerPoint Workshop Deck, and the Excel Toolkit, together with any templates, text and materials they contain. By downloading or using the Toolkit, you agree to these terms. If you do not agree, do not use the Toolkit.
1. Definitions
"Author" means the copyright owner and licensor of the Toolkit. "Licensee", "you" means the single individual who purchased the licence. "Client" means a third party to whom the Licensee provides professional advisory or consulting services. "Deliverable" means a work product the Licensee prepares for a Client.
2. Licence granted
The Author grants the Licensee a non-exclusive, non-transferable, worldwide licence for one (1) named individual to use the Toolkit in accordance with this Agreement. The licence is perpetual for the version purchased, subject to termination under clause 9.
3. What you may do
• Use the Toolkit for your own professional work and internal business purposes.
• Apply, adapt and tailor the frameworks, templates and tools when delivering paid advisory, consulting or in-house work for your Clients or your employer.
• Incorporate adapted outputs (for example a completed scorecard, a populated RACI, or tailored slides) into Deliverables prepared for a specific Client engagement.
• Print and store copies for your own use and for the delivery of that work.
4. What you may not do
• Resell, sublicense, rent, lend, share, publish or otherwise distribute the Toolkit or any substantially unmodified part of it, whether free or for a fee.
• Make the source files (guide, deck or workbook) available to any other person, including colleagues, Clients or on any shared drive, website or marketplace.
• Repackage, rebrand or re-sell the Toolkit, or any derivative that reproduces its structure and content, as a template, product, course or competing toolkit.
• Remove or obscure any copyright, authorship or proprietary notice.
• Use the Toolkit to train, fine-tune or build any automated or AI system.
For the avoidance of doubt: delivering Client work that uses the Toolkit is permitted; handing the Toolkit files themselves to a Client or third party is not.
5. Ownership and intellectual property
The Toolkit is licensed, not sold. The Author retains all copyright and intellectual property rights in the Toolkit and its content. The Licensee owns the specific Client data and bespoke analysis they create using the Toolkit, but acquires no rights in the underlying frameworks, templates or structure.
6. Multiple users and teams
This is a single-user licence. If more than one individual in your organisation will use the Toolkit, a separate licence is required for each user, or a team or enterprise licence should be obtained from the Author.
7. No warranty
The Toolkit is provided "as is". It is a set of professional templates and guidance, not legal, financial, employment or other professional advice. The Author makes no warranty that it is fit for a particular purpose or that outputs will be accurate or complete. You are responsible for the decisions you make using it and for complying with all laws applicable to your engagements.
8. Limitation of liability
To the maximum extent permitted by law, the Author shall not be liable for any indirect, incidental or consequential loss, or for any loss of profit, data or goodwill, arising from use of the Toolkit. The Author's total liability under this Agreement shall not exceed the amount you paid for the licence.
9. Term and termination
This Agreement takes effect on download and continues until terminated. It terminates automatically if you breach any term. On termination you must stop using the Toolkit and delete all copies of the source files. Clauses 5, 7, 8 and 10 survive termination.
10. Governing law
This Agreement is governed by the laws of [insert jurisdiction], and the courts of [insert jurisdiction] shall have exclusive jurisdiction. Replace the bracketed text with your own jurisdiction before sale.
Licence summary
One named user. You may use and adapt the Toolkit in your own paid Client work and internal projects. You may not resell, share or redistribute the files, or repackage them as a competing product.
